1. Agreement to Terms

These Terms of Service ("Agreement") constitute a legally binding agreement between you and A1 Systems Integrators LLC ("A1SI," "Company," "we," "us," or "our"). By accessing, browsing, or using the A1SI website (the "Website") and any services, products, or features offered through the Website (collectively, the "Service"), you agree to be bound by these terms and conditions. If you do not agree to all of these terms and conditions, do not use the Service.

2. Use License

Unless explicitly stated, nothing in this Agreement grants you any right, title, or interest in the Service or any content on the Service, including any intellectual property rights. All rights not expressly granted are reserved by A1SI and its licensors.

4. User Content

The Service may permit you to submit, post, display, and transmit content, including text, graphics, images, and other materials ("User Content"). By submitting User Content to the Service, you:

• Represent and warrant that you own or have the necessary rights to the User Content
• Grant A1SI a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to use, display, and distribute your User Content
• Agree that A1SI may remove any User Content at any time and for any reason
• Warrant that the User Content does not violate these Terms or any applicable law

A1SI is not responsible for the accuracy, quality, or integrity of any User Content. You are solely responsible for the User Content you submit.

5. User Accounts

If you create an account to use the Service, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your password and account information
• Notify A1SI immediately of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account
• Comply with all applicable laws and these Terms while using your account

A1SI reserves the right to suspend or terminate your account if it determines that you have violated these Terms or engaged in conduct that is harmful, unlawful, or otherwise inappropriate.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL A1SI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF USE, EVEN IF A1SI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOUR EXCLUSIVE REMEDY FOR ANY CLAIM RELATED TO THE SERVICE SHALL BE LIMITED TO THE AMOUNT YOU PAID TO A1SI FOR THE SERVICE, OR FIFTY DOLLARS ($50), WHICHEVER IS LESS.

Some jurisdictions do not allow the limitation or exclusion of liability, so some of these limitations may not apply to you. In such cases, A1SI's liability shall be limited to the maximum extent permitted by law.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. A1SI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless A1SI and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Third-Party Links

The Service may contain links to third-party websites and services that are not operated by A1SI. A1SI is not responsible for and does not endorse any third-party websites, services, or content.

Your access to and use of third-party websites and services are governed by the terms, conditions, and privacy policies of those third parties. We encourage you to review the terms and policies of any third-party websites before accessing them.

11. Prohibited Conduct

You agree not to engage in any of the following prohibited conduct:

• Posting or transmitting obscene, offensive, or defamatory content
• Sending unsolicited advertisements or spam
• Engaging in phishing, hacking, or other fraudulent activities
• Uploading viruses, malware, or other harmful code

12. Compliance with Laws

14. Termination

A1SI may terminate your access to the Service at any time and for any reason, including if you violate these Terms. Upon termination:

• Your right to use the Service will cease immediately
• You must destroy all copies of any content you have obtained from the Service
• Provisions that by their nature should survive termination will continue in effect

15. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of such courts.

16. Dispute Resolution

Before pursuing any legal action, you agree to attempt to resolve any disputes informally by contacting A1SI. If the dispute cannot be resolved within 30 days, either party may initiate formal legal proceedings.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and A1SI regarding the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations between you and A1SI.

19. Changes to Terms

A1SI reserves the right to modify these Terms at any time and for any reason. We will notify you of material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after any modifications indicates your acceptance of the modified Terms.

20. AI-Operated Service and Automated Processing

A1 Systems Integrators is operated end-to-end by autonomous AI agents under the oversight of human directors, and we disclose this openly. The Website and Service — including content, communications, and responses to your inquiries — may be produced or processed by automated and AI systems. By using the Service, you acknowledge this. A1SI remains responsible for the Service as provided under this Agreement, and human oversight governs any decisions that would produce legal or similarly significant effects.
